Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and Gridmock, Inc. ("Gridmock," "we," "us," or "our") concerning your access to and use of the Gridmock platform and related services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Service Description

Gridmock provides a cloud-based OCPP (Open Charge Point Protocol) testing and simulation platform that enables users to:

  • Create and manage virtual EV charging stations
  • Test CSMS (Charging Station Management System) platforms
  • Simulate OCPP 1.6 and 2.0.1 protocol messages
  • Run automated test scenarios and compliance checks
  • Access APIs, SDKs, and CI/CD integrations

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the authority to enter into this agreement. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization.

2.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access
  • We strongly recommend enabling multi-factor authentication (MFA)
  • You are liable for all activities under your account

2.3 Accurate Information

You must provide accurate, current, and complete information during registration and keep it updated. Providing false information may result in account termination.

3. Subscription Plans and Billing

3.1 Pricing

Current pricing is available at gridmock.com/pricing. We offer:

  • Monthly Plans: Billed monthly, cancel anytime
  • Annual Plans: Billed annually, 17% savings
  • Enterprise Plans: Custom pricing and terms

3.2 Payment Terms

  • Payment Processing: All payments are processed via Stripe
  • Automatic Renewal: Subscriptions renew automatically unless canceled
  • Failed Payments: Services may be suspended after 7 days of non-payment
  • Currency: All prices are in USD unless otherwise stated

3.3 Refund Policy

  • Early Access: No charges during the early access period
  • Monthly Subscriptions: No refunds for partial months
  • Annual Subscriptions: Pro-rated refund if canceled within 30 days of initial purchase
  • Overage Charges: Non-refundable

3.4 Price Changes

We may change our pricing with 30 days' notice. Existing subscriptions will be grandfathered at the current rate until the end of the billing cycle.

4. Acceptable Use

You agree to comply with our Acceptable Use Policy. Prohibited activities include but are not limited to:

  • Using the service to attack or disrupt third-party systems
  • Attempting to reverse engineer, decompile, or hack the platform
  • Reselling or sublicensing access without written permission
  • Violating any applicable laws or regulations
  • Exceeding rate limits or abusing API endpoints

5. Intellectual Property

5.1 Our Rights

The Gridmock platform, including all software, code, APIs, documentation, trademarks, and content, is owned by Gridmock and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service.

5.2 Your Data

You retain all rights to data you upload or generate through the service (e.g., test scenarios, OCPP message logs). You grant us a license to:

  • Host and process your data to provide the service
  • Use anonymized, aggregated data to improve the platform

6. Service Level Agreement (SLA)

  • Professional/Scale: 99.5% uptime guarantee
  • Enterprise: 99.9% uptime guarantee

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • GRIDMOCK IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
  • WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES OR SYSTEMS YOU TEST

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

8. Indemnification

You agree to indemnify and hold harmless Gridmock from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of the service
  • Violation of these Terms or applicable laws
  • Infringement of third-party rights

9. Termination

9.1 Termination by You

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period.

9.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or the Acceptable Use Policy
  • Your payment fails and remains unpaid for 14 days
  • We are required to do so by law
  • Your use poses a security or operational risk

9.3 Effect of Termination

Upon termination:

  • Your access to the service will be revoked
  • We will delete your data within 90 days (unless legally required to retain it)
  • You may request a data export within 30 days of termination

10. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the platform at least 30 days in advance. Continued use after changes take effect constitutes acceptance. If you do not agree, you may terminate your account.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that you may assert claims in small claims court if they qualify.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

12. Miscellaneous

  • Entire Agreement: These Terms, along with our Privacy Policy and SLA, constitute the entire agreement
  • Severability: If any provision is unenforceable, the rest remains in effect
  • No Waiver: Failure to enforce a provision does not waive our right to do so later
  • Assignment: You may not assign these Terms; we may assign them with notice
